Terms of Service

These Terms of Service ("Terms") govern your access to and use of the JakeBooks software, website, and related services (collectively, the "Service") provided by JakeBooks ("JakeBooks," "we," "us," or "our"). By creating an account or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and capable of forming a legally binding contract to use JakeBooks. By using the Service, you represent and warrant that you meet these requirements.

2. Account Registration

You agree to provide accurate, current, and complete information when registering. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at support@jakebooks.com if you suspect unauthorized account access.

3. Subscription and Billing

Plans. JakeBooks offers a Starter plan ($12/month) for a single business and a Growth plan ($24/month) for multiple businesses. Pricing is displayed at checkout and may change with 30 days' advance notice.

Free Trial. New accounts include a 14-day free trial. No credit card is required to start. After the trial, continued access requires a paid subscription.

Billing via Stripe. Subscription payments are processed by Stripe, Inc. By subscribing, you authorize Stripe to charge your payment method on a monthly recurring basis. You agree to Stripe's Terms of Service. JakeBooks does not store payment card numbers or CVVs.

Cancellation. You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; you will retain access until then.

Refunds. We do not offer prorated refunds for cancellations mid-period. If you experience a billing error, contact us within 30 days at billing@jakebooks.com and we will investigate promptly.

4. Bank Account Connection (Plaid)

JakeBooks uses Plaid Technologies, Inc. ("Plaid") to link and retrieve data from your financial accounts. By connecting a bank account, you authorize JakeBooks and Plaid to access your transaction history, balances, and account information solely for the purpose of providing the Service. Your use of Plaid is subject to the Plaid User Agreement and Plaid End User Privacy Policy. You may disconnect bank accounts at any time in your account settings, which revokes authorization for ongoing data retrieval.

5. Acceptable Use

You agree to use the Service only for lawful bookkeeping and financial management purposes. You must not:

  • Provide false or misleading financial information
  • Use the Service to facilitate money laundering, fraud, or any illegal activity
  • Reverse-engineer, scrape, or attempt to gain unauthorized access to the Service or its underlying infrastructure
  • Resell or sublicense the Service without our prior written consent
  • Introduce malware, viruses, or other harmful code

6. Intellectual Property

All rights, title, and interest in the Service (including software, design, trademarks, and content) remain the exclusive property of JakeBooks. These Terms do not grant you any rights to our intellectual property. Your financial data remains yours — we do not claim ownership of data you import or enter.

7. Data and Privacy

Our collection and use of your personal and financial data is described in our Privacy Policy, which is incorporated into these Terms by reference.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. JAKEBOOKS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

JakeBooks does not provide accounting, tax, legal, or financial advice. The Service is a bookkeeping tool. You are responsible for verifying the accuracy of your financial records and for complying with all applicable tax laws. We recommend consulting a licensed CPA or tax professional for advice specific to your situation.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JAKEBOOKS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION) ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO JAKEBOOKS IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100.

10. Indemnification

You agree to indemnify and hold harmless JakeBooks and its affiliates, officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights.

11. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any conduct we determine to be harmful to other users or JakeBooks. Upon termination, your right to use the Service ceases immediately. You may request deletion of your data by contacting privacy@jakebooks.com.

12. Modifications to Service and Terms

We reserve the right to modify or discontinue the Service at any time. We will provide at least 30 days' notice of material changes to these Terms via email or in-app notification. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Utah, without regard to its conflict of law principles. Any dispute arising from these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except that either party may seek injunctive relief in court for intellectual property infringement. You waive any right to participate in a class action lawsuit or class-wide arbitration.

14. General

These Terms, together with the Privacy Policy and any other policies or agreements incorporated by reference, constitute the entire agreement between you and JakeBooks. If any provision is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right or provision is not a waiver of that right.
